1. Introduction

These Terms & Conditions (“Agreement”) govern the provision of recruitment and consultancy services by VPS Elite Human Resources Consultancies LLC (“Company”, “we”, “our”, “us”) to its clients (“Client”, “you”)..

By engaging our services, the Client agrees to be bound by these Terms & Conditions.

2. Scope of Services

We provide professional recruitment and talent acquisition services, including but not limited to:

  • Permanent Hiring
  • Contract Staffing
  • Executive Search
  • Bulk & Volume Hiring
  • Recruitment Process Outsourcing (RPO)
  • Talent Mapping & Headhunting
  • AI-Driven Recruitment & ATS-enabled Hiring

The exact scope of services will be defined in the service agreement or proposal shared with the Client.

3. Client Responsibilities

The Client agrees to:

  • Provide accurate job descriptions, requirements, and expectations
  • Respond to candidate submissions within a reasonable timeframe
  • Maintain confidentiality of candidate information
  • Inform the Company of hiring decisions promptly

4. Candidate Submissions

All candidate profiles submitted by the Company remain the property of the Company.

The Client shall not share candidate details with third parties without written consent.

Any candidate hired within 12 months of submission will be considered a placement by the Company.

5. Fees & Payment Terms

Recruitment fees will be agreed upon in writing prior to engagement. Fees are typically calculated as a percentage of the candidate’s annual gross salary or as per agreed fixed terms.

Payment is due within 15–30 days from the date of invoice unless otherwise agreed.

Late payments may attract additional charges.

6. Replacement Guarantee

A replacement guarantee may be provided depending on the agreed terms. The guarantee is valid only if:

  • Full payment has been made within the agreed timeline
  • The Client notifies the Company of candidate exit within the guarantee period
  • Maintain confidentiality of candidate information
  • Replacement is provided once per placement and is subject to role availability and market conditions.

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

  • Business information
  • Candidate details
  • Compensation structures

This obligation continues even after termination of services.

8. Non-Solicitation

The Client agrees not to:

Approach or hire any Company employee or consultant directly Bypass the Company to engage candidates introduced by us

This clause remains valid for 12 months from the last engagement.

9. Limitation of Liability

The Company does not guarantee candidate performance or suitability beyond the recruitment process.

The Client is responsible for final selection and background verification.

The Company shall not be liable for any direct or indirect losses arising from hiring decisions.

10. Termination

Either party may terminate the agreement by providing written notice.

All outstanding invoices remain payable upon termination.

Any candidate hired post-termination (within 12 months of introduction) will still be subject to fees.

11. Compliance with Laws

Both parties agree to comply with all applicable laws and regulations of the United Arab Emirates, including labor and data protection laws.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, with jurisdiction in Dubai Courts.

13. Amendments

The Company reserves the right to update these Terms & Conditions at any time. Updated versions will be published on our website.
